Virtual Office: Terms and Conditions

By purchasing virtual office services from Bespoke Spaces London Limited ("Provider"), located at 14 Windermere road, London, N19 5SG , you ("Client") agree to the following terms and conditions. Please read them carefully.
1. Services Provided
1.1 Depending on the subscription purchased the Provider agrees to offer the Client virtual office services, including but not limited to the following:
Business Address
Mail Handling
Telephone Answering Services
Meeting Room Access
Administrative Support
2. Term and Termination
2.1 The services will commence upon successful payment and confirmation of the Client's subscription and shall continue for the selected subscription period ("Initial Term").
2.2 After the Initial Term, the subscription will automatically renew for successive periods of the same duration ("Renewal Term") unless the Client cancels the subscription through their online account portal.
2.3 The Provider may terminate or suspend services immediately if the Client breaches any material term of these terms and fails to remedy such breach within ten (10) days after notification.
2.4 Upon termination the Client will have 10 working days to collect held post after which the Provider will return all held post to sender.
2.5 Upon termination HMRC will be notified within 10 working days that your business is no longer based at the providers address
3. Fees and Payment Terms
3.1 The Client agrees to pay the Provider the specified fee for the selected virtual office services as displayed on the Provider's website at the time of purchase.
3.2 Payment is due immediately upon selecting and confirming the purchase of services. Subsequent payments for renewals are due on the first day of each Renewal Term.
3.3 If payment is not received within ten (10) days of the due date, the Provider will terminate the contract and return all held post to sender.
3.4 The Provider reserves the right to adjust fees with thirty (30) days notice, which will be communicated to the Client via email.
4. Use of Services
4.1 The Client shall use the virtual office services solely for lawful business purposes.
4.2 The Client shall not use the Provider's address for any illegal, fraudulent, or unauthorized activities.
4.3 The Provider reserves the right to suspend or terminate services if the Client's use of the services is deemed unlawful, inappropriate, or in breach of these terms.
5. Confidentiality
5.1 Both parties agree to maintain the confidentiality of any proprietary information disclosed during the term of these services.
5.2 This obligation shall survive the termination or expiration of these terms.
6. Limitation of Liability
6.1 The Provider shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the services provided.
6.2 The Provider's total liability for any claim arising out of or relating to these services shall not exceed the total amount paid by the Client to the Provider for the services during the twelve (12) months preceding the claim.
7. Indemnification
7.1 The Client agrees to indemnify, defend, and hold harmless the Provider from any and all claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of or related to the Client's use of the services or breach of these terms.
8. Governing Law
8.1 These terms shall be governed by and construed in accordance with the laws of England and Wales.
9. Miscellaneous
9.1 These terms constitute the entire agreement between the parties and supersede all prior agreements and understandings, whether written or oral.
9.2 Any amendments or modifications to these terms must be in writing and agreed upon by both parties.
9.3 If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
9.4 The Client may not assign or transfer its rights or obligations under these terms without the prior written consent of the Provider.
By clicking "Agree" and purchasing the services, the Client acknowledges that they have read, understood, and agree to be bound by these terms.
Schedule of Services and Fees
Business Address: 14 Windermere Road, London, N19 5SG
Mail Handling: £12 or £25 or £70 per month depending on the service level selected
Meeting Room Access: £20 per hour
Administrative Support: £40 per hour
Coworking use: £24 per day
Terms of Use
10. Mail Handling
10.1 The Provider agrees to offer the Client mail handling services, which include:
Receiving mail and packages on behalf of the Client.
Notifying the Client of received mail and packages.
Forwarding mail and packages to the Client's specified address upon request.
Providing options for mail scanning and electronic delivery.
11. Client Responsibilities
11.1 The Client must provide accurate and up-to-date contact information, including a forwarding address.
11.2 The Client is responsible for any additional costs incurred for mail forwarding, such as postage and packaging materials.
11.3 The Client must promptly respond to notifications regarding received mail and packages to arrange for forwarding or collection.
12. Mail Handling Procedures
12.1 Mail and packages will be handled with care and stored securely until collected or forwarded.
12.2 The Provider will notify the Client via email or another agreed-upon method when mail or packages are received.
12.3 The Client may request mail scanning and electronic delivery. Scanned mail will be delivered via email or through a secure online portal.
13. Forwarding and Collection
13.1 The Client may request mail and packages to be forwarded to a specified address. Forwarding requests must be made through the online portal or by contacting customer support.
13.2 Forwarding will be conducted within [Number] business days of the request, subject to payment of any applicable fees.
13.3 The Client may also collect mail and packages in person during office hours. An appointment may be required for collection.
14. Fees and Payment
14.1 The Client agrees to pay any applicable fees for mail handling services as outlined in the pricing schedule.
14.2 Fees for additional services, such as forwarding and scanning, will be billed as incurred and are due upon receipt of the invoice.
14.3 The Provider reserves the right to adjust fees with thirty (30) days written notice to the Client.
15. Limitations and Liability
15.1 The Provider is not responsible for any loss, damage, or delay of mail or packages once they have been forwarded or collected by the Client.
15.2 The Provider's liability for any claim arising out of or relating to mail handling services shall not exceed the total amount paid by the Client for the services during the twelve (12) months preceding the claim.
